Vox Ed Terms of Business & Sales Representative Agreement

IMPORTANT LEGAL NOTICE

By accessing this website, viewing our video lectures, utilizing our digital platform, submitting a student referral, sharing promotional materials, inputting a phone number into our enrollment system, or generating sales for Vox Ed (meaning "The Voice of Education"), you explicitly agree to be legally bound by these Terms of Business. If you do not agree to these terms, you must immediately exit the platform and must not copy our content, use our courses, promote our services, or submit referrals.

1. Universal Intellectual Property & UK Copyright Protection (Applies to ALL Website Visitors, Students, and Representatives)

  • Automatic UK Protection: Every visitor, user, customer, student, and sales representative explicitly acknowledges that all Vox Ed course materials, video lectures, text content, logos, source code, scripts, graphics, designs, and digital systems are original works protected automatically under the United Kingdom Copyright, Designs and Patents Act 1988 (CDPA).
  • Global Enforceability: Vox Ed retains full, exclusive ownership of all digital assets hosted on voxed.org.uk. Under international intellectual property treaties (including the Berne Convention), UK copyright protection automatically extends to and is fully enforceable within Zimbabwe and globally.
  • Prohibited Actions for Anyone: Any person or entity accessing this website is strictly prohibited from copying, reproducing, downloading, recording, mirroring, redistributing, or modifying any Vox Ed course content or marketing media for personal or commercial use. Sharing account credentials, leaking curriculum text, or using our frameworks to launch competing educational services is strictly illegal.
  • Legal Remedies: Any individual or company found violating these copyright protections will face immediate, permanent blocking of their system access, public blacklisting, and aggressive legal prosecution for damages under both UK and Zimbabwean intellectual property laws.

2. Contract Execution by Conduct (Sales Representatives Only)

  • Implied Consent: The Representative acknowledges that a physical or digital signature is not required to execute this Agreement.
  • Binding Action: The act of sharing Vox Ed course links, entering a sales representative phone number on the Vox Ed platform, or accumulating student referrals constitutes full, legally binding acceptance of all operational terms outlined below.
  • Effective Date: This Agreement becomes active the exact moment the Representative initiates their first marketing or sales action for the Company.

3. Independent Contractor Status (Non-Employment)

  • Self-Employed Status: The Representative acts strictly as a self-employed independent contractor.
  • No Employment Relationship: This Agreement does not create an employer-employee relationship, partnership, or joint venture under the Labour Act of Zimbabwe.
  • Tax Liability: The Representative is solely responsible for declaring and paying all personal income taxes and statutory obligations directly to the Zimbabwe Revenue Authority (ZIMRA).
  • No Benefits: The Representative is not entitled to medical aid, pensions, paid leave, termination packages, or any other company benefits.

4. Identity Verification & EcoCash Payouts

  • SIM Registration: The Representative must use a mobile phone number registered under their own legal name in accordance with national SIM registration laws.
  • EcoCash Alignment: All eligible milestone payouts will be sent exclusively via EcoCash to the mobile number associated with the sales.
  • Wallet Ownership: The EcoCash wallet name must match the Representative's government-issued national ID.
  • No Proxy Payments: The Company will not remit payments to third-party numbers, unregistered lines, or alternative mobile wallets.
  • Ledger Finality: The Company's digital tracking system serves as the definitive record for verifying eligible sales and referrals.

5. Mandatory Training Prerequisite & Onboarding Fees

  • Course & Exam Completion: Every Representative must successfully complete Vox Ed's Professional Conduct & Manners course and pass the formal exam before they are legally permitted to submit their first student referral or log a sale.
  • Activation Fee: Access to the training module and the activation of a sales profile requires a non-refundable upfront payment of $2 USD, paid via EcoCash. This fee covers administrative identity verification and system setup.
  • Uniform Purchase Fee: Representatives must purchase their official Vox Ed high-visibility blue jacket for a mandatory, non-refundable cost of $3 USD, paid via EcoCash upon profile setup.
  • Account Verification: Referral links and digital entry options will remain locked or unverified until the platform tracking system confirms the Representative has successfully passed the required exam and settled all upfront onboarding fees.

6. The 75-Recruit Threshold & $50 USD Payout

  • Minimum Milestone: To qualify for any financial payout, a Representative must successfully recruit a minimum baseline of 75 verified students.
  • Fixed Compensation: Upon successfully hitting the 75-recruit milestone, the Representative triggers a total, flat-rate payout of $50 USD, distributed via EcoCash as outlined on the website.
  • Volume Commission Model: Similar to independent mobile network airtime and scratch card vendor frameworks, the Representative is rewarded strictly based on total volume. No prorated payments, partial balances, or advanced earnings are processed for volumes under 75 recruits. If an account is abandoned or closed below this line, all accumulated targets are permanently forfeited.

7. Professional Standards & Uniform Policy

  • Smart Presentation: The Representative must maintain a neat, clean, and highly professional appearance ("look smart") during all client-facing interactions.
  • Mandatory Uniform: The Representative must wear the official Vox Ed high-visibility blue jacket at all times while conducting field sales, marketing, or customer outreach on behalf of the platform.
  • Curriculum Alignment: Representatives are expected to strictly model the exact communication and behavior principles taught in Vox Ed's Professional Conduct & Manners course.
  • Brand Representation: The Representative must communicate honestly, politely, and accurately about Vox Ed's mission as "The Voice of Education."
  • Prohibited Actions: The Representative shall not collect direct cash payments from customers, alter official pricing, or make unauthorized guarantees.

8. Confidentiality & Data Protection

  • Data Protection: The Representative must keep all customer details, student registrations, and platform data strictly confidential.
  • No Data Sharing: Customer contact information gathered during sales activities must never be shared with third parties or used for external business purposes.

9. Instant At-Will Termination & Final Accounting

  • Immediate Effect: This Agreement can be terminated instantly by either party at any time, with or without cause, effective the exact moment action is taken.
  • Termination Method: The Company executes instant termination strictly by blocking the Representative's registered mobile phone number within the Vox Ed system.
  • Notice by Deactivation: The act of restricting, banning, or blocking the Representative's mobile number from accessing the system forms the final, complete, and legally binding notice of immediate contract termination.
  • Final Accounting Limit: Upon instant termination via system block, final accounting is strictly subject to the threshold rule. The Company will only process and settle the $50 USD EcoCash payout for accounts that have fully met or exceeded the 75 verified recruit requirement prior to the exact moment the phone number is blocked. Representatives with fewer than 75 recruits at the time of the block will receive nothing. Initial fees paid for system activation ($2 USD) and the high-visibility jacket ($3 USD) are non-refundable under any circumstances.

10. Binding Account Disclaimer and Financial Waiver

  • Identity Validation: By entering a mobile phone number into any Vox Ed enrollment form, registration portal, field, or interface, the user explicitly confirms that the associated EcoCash wallet belongs directly to their verified legal identity under national SIM laws.
  • Acceptance of Operational Rules: Submission of a phone number serves as a complete, absolute, and unreserved acceptance of this entire Agreement.
  • Milestone & Fee Acknowledgement: The user explicitly acknowledges that the non-refundable $2 USD registration fee and the $3 USD jacket uniform fee must be paid upfront, that the Professional Conduct & Manners course exam must be successfully passed before any sales submissions, and that a flat payout of $50 USD is exclusively unlocked upon hitting the mandatory milestone of 75 verified recruits. No partial, prorated, or intermediate payments will ever be made.
  • Termination by System Block: The user agrees that termination is instantaneous and finalized the exact moment the Company blocks system access for their registered mobile number, forfeiting any balance under the 75-recruit threshold.

11. Insurance and Liability Waiver

  • No Corporate Coverage: The Company provides zero medical aid, medical insurance, workers' compensation, liability insurance, or accident coverage to the Representative.
  • Personal Responsibility: The Representative acknowledges they are operating at their own risk in the field, exactly like independent telecommunications agents. They are solely responsible for securing any personal medical, vehicle, or accident insurance required for their activities.
  • Indemnity: The Representative explicitly agrees to indemnify and hold Vox Ed harmless from any claims, injuries, health issues, losses, or physical damages sustained while engaging in sales, marketing, or customer outreach on behalf of the platform.

12. Governing Law and Jurisdiction

  • Zimbabwean Law: This Agreement, and any dispute or claim arising out of or in connection with it, shall be governed by, and construed in accordance with, the laws of Zimbabwe.
  • Exclusive Jurisdiction: The parties irrevocably agree that the courts of Zimbabwe shall have exclusive jurisdiction to settle any dispute, breach, or claim that arises out of or in connection with this Agreement, regardless of where the platform's digital servers are physically hosted.
